1. Who We Are
WoAiToken provides AI API recharge and access services. Customers purchase digital recharge codes or related products through our main website and redeem them on supported API gateway platforms.

2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use our Services.
By using our Services, you represent that:
- You have the legal capacity to enter into these Terms.
- You are not prohibited from using the Services under applicable laws, including export control or sanctions regulations.
- You will use the Services only for lawful purposes.

3. Accounts and Security
Some Services require an account. You are responsible for:
- Keeping your login credentials, API keys, and recharge codes secure and confidential.
- All activities that occur under your account.

We are not responsible for losses caused by your failure to protect account credentials, API keys, recharge codes, or other sensitive information.
4. Products and Services
WoAiToken offers digital products and recharge-related services, including AI API recharge codes, account balance top-ups, and access to our API service gateway.
Product descriptions, plan names, credit amounts, bonuses, prices, supported platforms, and service features may be updated at any time. We strive to keep product information accurate but do not guarantee that all descriptions, pricing, availability, or service information will always be error-free.
If we discover an error in pricing, product description, recharge amount, or availability, we may correct the error, cancel the affected order, or contact you for further instructions.
5. Orders, Payments, and Delivery
When you place an order, you agree to provide accurate billing, contact, and payment information.
Payments may be processed by third-party payment providers, including Stripe (USD, international) and 链动小铺 / pay.ldxp.cn (CNY, China). We do not directly store full payment card numbers. Your payment is subject to the payment provider’s own terms, privacy policy, fraud checks, currency conversion rules, and compliance requirements.
After successful payment, digital products or recharge codes are delivered electronically through the website, account page, email, or another supported delivery method. Delivery may be delayed due to payment review, fraud prevention checks, technical issues, or third-party service conditions.
6. Recharge Codes and Digital Products
Recharge codes, balance top-ups, and related digital products are provided for use on our supported platform at new.woaitoken.com.
You are responsible for:
- Redeeming codes on the correct platform and with the correct account.
- Verifying the product, platform, plan, and credit amount before purchase.
- Keeping recharge codes confidential until redeemed.
- Using purchased services before any stated expiration date, if applicable.
- Following the usage rules of the relevant API gateway platform.
We are not responsible for losses caused by incorrect redemption, disclosure of recharge codes, unauthorized account access, use on unsupported platforms, or misuse of purchased products.
7. Pricing, Bonuses, and Currency
Prices may be shown in U.S. dollars (USD), Chinese yuan (CNY), or other supported currencies. Currency conversion, bank fees, card issuer fees, payment provider fees, or exchange rate differences may apply and are outside our control.
Some plans include promotional bonus credits. Bonus amounts, promotional offers, and plan structures may change at any time. Unless clearly stated otherwise, promotions are not guaranteed to remain available permanently.
The credit amounts displayed at checkout are the authoritative amounts for that transaction. Credit unit scale and conversion details are disclosed clearly on the product pages.
8. Refunds and Cancellations
Because our products are digital and may be delivered or redeemed immediately after purchase, all sales are generally final once the recharge code, account balance, or digital product has been delivered, viewed, activated, redeemed, or used.
Refunds may be considered only in limited situations, such as:
- Duplicate payment caused by a verified technical error on our side.
- Non-delivery caused by our system failure after confirmed successful payment.
- Incorrect product delivery caused by our documented error.
- Other cases where we are legally required to provide a refund.

We reserve the right to refuse refunds for:

- Service interruptions caused by third-party platforms, payment providers, AI model providers, or network conditions outside our reasonable control.
Nothing in this section limits any non-waivable consumer rights you may have under applicable law.
9. Acceptable Use
You agree to use our Services only for lawful purposes and in compliance with these Terms.
You must not:
- Violate applicable laws, regulations, sanctions, export controls, or third-party rights.
- Use the Services for fraud, scams, phishing, spam, malware, credential theft, or unauthorized access.
- Resell, redistribute, or commercially exploit the Services unless we have expressly authorized you to do so in writing.
- Interfere with, disrupt, overload, reverse-engineer, scrape, or attack our websites, systems, payment flows, or API gateway infrastructure.
- Attempt to bypass usage limits, payment controls, security systems, abuse detection, or access restrictions.
- Use the Services to generate, distribute, or support content that is illegal, infringing, abusive, or harmful.
- Misrepresent your identity, billing information, country, account ownership, or authorization to use a payment method.
We may suspend or terminate access if we reasonably believe you have violated these Terms, created risk for us or other users, or used the Services in a way that may harm service integrity, security, compliance, or reputation.

Our Services depend on or link to third-party services, including payment processors, hosting providers, AI model providers (such as Anthropic, OpenAI, and Google), and infrastructure providers.
We do not control third-party services and are not responsible for their availability, performance, pricing, terms, policies, security, outages, model changes, account restrictions, API behavior, or content.
Your use of third-party services is subject to their own terms and policies. In particular, your API requests forwarded through our gateway are subject to the upstream AI providers’ terms of service and acceptable use policies.
11. Service Availability and Changes
We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or permanently available service.
Services may be interrupted, limited, suspended, or changed due to:
- Scheduled or emergency maintenance.
- Security incidents or abuse prevention measures.
- Payment provider review or compliance requirements.
- Third-party API, model, gateway, or infrastructure changes.
- Legal, regulatory, or risk management requirements.
- Events outside our reasonable control (force majeure).
We may modify, suspend, discontinue, or replace any service, feature, product, price, plan, or platform support at any time, with or without notice, except where advance notice is required by law.
12. Intellectual Property
All website content, branding, text, graphics, logos, layouts, product descriptions, and other materials provided by WoAiToken are owned by us or our licensors, unless otherwise stated.

You are solely responsible for evaluating whether our Services are suitable for your intended use.
16. Limitation of Liability
To the maximum extent permitted by applicable law, WoAiToken and its owners, operators, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, API access, account balances, business opportunities, or service availability.
Our total cumulative liability for any claim arising from or related to the Services will not exceed the amount you paid to us for the specific order or service giving rise to the claim.
Some jurisdictions do not permit certain limitations of liability; in such cases, the above limitations apply to the fullest extent permitted by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless WoAiToken and its owners, operators, employees, contractors, and service providers from any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from:

- We are required to act by law, payment provider rules, or third-party platform requirements.
- Continued service is no longer commercially or technically feasible.
Termination does not affect any accrued rights or obligations prior to termination, including payment obligations, refund limitations, intellectual property rights, disclaimers, liability limits, and indemnification.
19. Chargebacks and Payment Disputes
If you initiate a chargeback, payment reversal, or dispute after receiving a digital product or recharge service, we may:
- Suspend or terminate related accounts.
- Revoke undelivered or unredeemed services.
- Block future purchases.
- Submit transaction evidence to the payment provider.
Fraudulent or abusive disputes may result in permanent account restrictions and may be reported to payment networks.
